By using our website and web application, you agree to comply with and be bound by the following Terms of Use. These terms govern your access and use of the Amzigo platform, including any services, features, and content provided on or through our website or web application.

Please read these Terms of Use carefully before using the platform. If you do not agree with any of these terms, please do not use our services.

Acceptance of Terms

By accessing or using the Amzigo website and web application, you accept and agree to abide by these Terms of Use, as well as our Privacy Policy, Data Policy, and any other policies we make available to you. These terms apply to all users of our services, including visitors, registered users, and anyone else accessing the platform.

Eligibility

To use Amzigo, you must be:

• At least 18 years old, or the age of majority in your jurisdiction.
• Able to enter into a binding legal contract.
• Not barred from using the services under applicable law.

If you are using Amzigo on behalf of a company, organisation, or other legal entity, you represent and warrant that you are authorised to bind that entity to these Terms of Use.

Use of the Amzigo Platform

User Account

To access certain features of Amzigo, you may be required to create an account. You agree to provide accurate, complete, and current information when registering and to maintain the confidentiality of your account credentials. You are responsible for all activities that occur under your account.

Security Controls:
Amzigo enforces security measures consistent with Amazon’s Solution Provider Agreement, including account lockout after ten unsuccessful login attempts, mandatory multi-factor authentication (MFA), and password-history retention for the previous ten passwords to prevent reuse.

Single Free Trial:
If you have already completed a free trial with Amzigo, you will not be eligible to sign up for an additional free trial. Attempts to circumvent this restriction may result in suspension or termination of your account.

Prohibited Uses

When using the Amzigo platform, you agree not to:

• Use the platform for any illegal or unauthorised purposes.
• Access or use the platform in a manner that could damage, disable, overburden, or impair the functionality of the platform.
• Interfere with any security-related features of the platform.
• Attempt to gain unauthorised access to any portion of the platform, accounts, or systems.
• Use any automated system, such as bots or scrapers, to access the platform for any purpose without our express written consent.
• Share, transfer, or sell your account to another party.

License to Use

Amzigo grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the platform for personal or business purposes, in accordance with these Terms of Use. This licence does not allow for the commercial exploitation of the content or features of Amzigo without express written consent.

Amazon Authorisation and API Access

When you connect your Amazon Seller Central account to Amzigo, you authorise our platform to access certain data through Amazon’s Selling Partner API. These permissions, known as authorisation roles, define the data Amzigo can retrieve or process to deliver its features.

Amzigo currently uses the following roles to operate its live features:

• Buyer Solicitation: Used to send compliant product review and seller feedback requests via Amazon’s official “Request a Review” system.
• Buyer Communication: Used within the Mail Response Centre to help sellers manage and respond to buyer messages in compliance with Amazon’s communication policies.
• Product Listing and Inventory: Used to display product details, stock levels, and listing performance insights.
• Order and Fulfilment Data: Used to track order activity and automatically trigger review requests when orders are completed.

In addition to these active roles, Amzigo has registered additional permissions — such as Pricing and Finance and Accounting — with Amazon to support future features currently in development. These permissions are not currently accessed or used, but have been pre-approved to enable upcoming tools such as pricing analysis, financial reporting, and profitability tracking.

All authorisation roles are approved under Amzigo’s registration in the Amazon Selling Partner Appstore and are used strictly in accordance with Amazon’s developer, data-access, and security policies. API credentials are encrypted using Amazon-approved Key Management Systems (KMS) and rotated at least annually. Amzigo does not share, sell, or use any Amazon account data for purposes beyond providing its services.

You may revoke Amzigo’s access at any time from within your Seller Central account. When access is revoked or your account is terminated, Amzigo will permanently delete any remaining Amazon data in accordance with our Data Policy and Amazon’s deletion requirements.

Intellectual Property Rights

All content, software, and materials available on the Amzigo platform, including but not limited to text, images, logos, and data, are the intellectual property of Amzigo or its licensors. These materials are protected by copyright, trademark, and other applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our platform or included materials, except as permitted by law or with prior written consent from Amzigo.

User-Generated Content

Submission of Content

As part of your use of the Amzigo platform, you may submit, upload, or post content, including but not limited to reviews, comments, and feedback ("User Content"). By submitting User Content, you grant Amzigo a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable licence to use, reproduce, modify, and distribute the content in any media or format.

Prohibited Content

You agree not to submit content that:

• Violates any laws or regulations.
• Infringes on any third-party rights, including intellectual property rights.
• Is defamatory, discriminatory, or otherwise offensive.
• Contains viruses, malware, or other harmful software.

Fees and Payments

Amzigo operates on a variable subscription model, where you pay only for the number of emails you need each month, not based on features. All features are included in every subscription. Pricing is structured based on email volume requirements, and usage limits are governed by our Fair Use Policy.

Subscription Details

• No Contracts: Subscriptions are month-to-month, giving you the flexibility to cancel, upgrade, or downgrade your plan at any time without long-term commitments.
• Upgrade/Downgrade Flexibility: You have the option to adjust your subscription level at any time, with changes taking effect immediately once the upgrade or downgrade has been confirmed. Your new subscription level will be reflected in your account and billing from that point forward.
• Monthly Billing: Subscription charges will be applied monthly, based on the package you select at the time of registration or upgrade.
• Billing Cycle: Your first payment will be charged at the end of your free trial, with subsequent payments taken at the start of each billing cycle (monthly).
• No Hidden Fees: All pricing is transparent, and there are no additional charges for accessing Amzigo’s features. The subscription cost is solely based on the number of emails you send through our platform.

Payment Methods

All payments will be charged to the payment method you provide during the registration process or any other method updated by you in your account settings.

Payment Failure

If we are unable to process your payment for any reason, your access to the Amzigo platform will be temporarily suspended until payment is successfully made. You are responsible for ensuring that your payment details are up to date.

Modifications and Termination

Amzigo reserves the right to modify, suspend, or terminate the platform or any part of it at any time, with or without notice. We also reserve the right to update or revise these Terms of Use at any time, and it is your responsibility to review these terms periodically.

Your continued use of the platform after any changes to the Terms of Use constitutes acceptance of the updated terms.

Amzigo also reserves the right to enforce its Fair Use Policy by adjusting, restricting, or suspending access if account activity exceeds permitted thresholds.

Where legally required or in connection with Amazon’s compliance processes, Amzigo will cooperate with Amazon and its affiliates, agents, or contractors in any review or audit relating to security, data handling, or user activity.

Limitation of Liability

To the fullest extent permitted by law, Amzigo, its directors, employees, or agents shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the platform.

Amzigo’s liability for any claim arising out of your use of the platform will be limited to the amount you paid, if any, for using our services.

Fair Use Policy

To maintain reliable performance and ensure equitable access for all users, Amzigo operates under a Fair Use Policy for accounts connected to multiple marketplaces.

Amzigo’s systems process data and requests from connected Amazon Seller accounts in real time. To protect platform stability and maintain compliance with Amazon’s API usage thresholds, users are subject to a total ASIN limit across all connected marketplaces based on their selected subscription plan:

• Growth Plan: Up to 5,000 ASINs total across all marketplaces.
• Pro Plan: Up to 10,000 ASINs total across all marketplaces.
• Enterprise Plan: Up to 20,000 ASINs total across all marketplaces.

These limits apply to active ASINs that are synced and tracked within the user’s Amzigo account.

If a user’s account exceeds the fair usage limit, Amzigo may:

• Throttle or temporarily restrict syncing and data requests to maintain system performance;
• Request the user to reduce their connected ASIN count; or
• Require an upgrade to a higher subscription tier or custom plan.

Users who engage in excessive or non-standard usage that places undue strain on platform resources may have access restricted or terminated in accordance with these Terms of Use.

This policy ensures fair, consistent, and reliable performance for all Amzigo users, regardless of the number of connected marketplaces.

Disclaimers

The Amzigo platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or secure. You understand and agree that your use of the platform is at your own risk.

Governing Law

These Terms of Use shall be governed and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any legal action arising from these terms shall be brought in the courts of the United Kingdom.
